Associate General Counsel

Position Purpose

The Associate General Counsel will operate with significant autonomy, engage regularly with senior executives, external stakeholders, and governmental authorities, and help shape and implement corporate policies and procedures. The role includes a structured professional development framework and offers opportunities for growth and expanded responsibility within the company over time.

Job Functions

  • Provide legal counsel across all aspects of EG LNG’s operations, including commercial, corporate, compliance, regulatory, and contractual matters.
  • Lead or oversee the drafting, negotiation, and review of complex agreements, including:
  • Procurement and service contracts
  • Processing and Marketing Agreement
  • Tolling and Lifting Agreements
  • Shareholders Agreement and corporate governance documentation.
  • Proactively identify legal risks and develop practical, business-aligned mitigation strategies.
  • Represent EG LNG in interactions with regulatory agencies, partners, and government authorities.
  • Oversee legal aspects of corporate governance, including entity management,board processes, minute taking, and compliance with statutory requirements
  • Lead or support the development, implementation, and continuous improvement of corporate policies, internal controls, and legal procedures.
  • Supervise and manage corporate compliance activities, including anti-bribery/anti-corruption protocols, vendor due diligence, and internal training programs.
  • Monitor and interpret legal and regulatory developments (local and international) relevant to EG LNG’s business and implement necessary adjustments.
  • Advise on or support litigation, arbitration, and administrative proceedings, including case strategy and oversight of external counsel.
  • Contribute to legal department planning, including goal setting, legal spend management, and strategic initiatives.
  • Develop and deliver internal training for business teams on legal, compliance, and governance issues.
  • Support mentoring and knowledge transfer within the legal function, including coaching junior staff or secondees as needed.
  • Participate in and maintain active progress under a structured professional development framework.

Additional duties will be assigned from time to time by the line manager or supervisor as required to meet business needs including personal training and development opportunities.

Your Job Description will be reviewed periodically to meet the needs of the Business.

Education and Experience

  • EG National with a Law degree from an accredited university; Juris Doctor or equivalent.
  • Member in good standing of the Equatorial Guinea Bar Association.
  • international private practice and in house counsel roles.
  • International legal experience or exposure to cross border legal matters is strongly preferred.
  • Demonstrated experience advising senior leadership on strategic legal and governance matters.

Qualities / Attributes

  • Strong working knowledge of corporate, commercial, and compliance law.
  • Familiarity with OHADA, CEMAC, and BEAC legal frameworks is preferred.
  • Proven ability to manage complex, high stakes matters independently.
  • Strong interpersonal and communication skills, with the ability to influence
    and collaborate across departments.
  • High level of discretion, ethical standards, and emotional intelligence.
  • Sound legal judgment with strategic thinking and will demonstrate strong leadership qualities, ethical integrity, and a practical, solution-oriented mindset.
  • The candidate will operate with significant autonomy, engage regularly with
    senior executives, external stakeholders, and governmental authorities, and help shape and implement corporate policies and procedures.
  • Office Productive Tools (Microsoft Excell, Word, PowerPoint etc.)
  • Document Management (PDF, Cloud etc.)
  • Proficiency in both English and Spanish (spoken and written); French is a plus.

Physical Requirements / Work Conditions

  • Work is performed in an air conditioned office environment.
  • Work consists of unconstrained, seated office work.
